1. Introduction
Welcome to Webooto ("we", "our", or "us"). By accessing or using our website, services, and platform, you agree to be bound by these Terms of Service. These Terms apply to all visitors, users, and others who access the Service. If you disagree with any part of the terms, you may not access the Service.
2. Legal Entity & Jurisdiction
Webooto operates under the laws of Belgium. Any legal disputes arising out of the use of our services shall be governed by Belgian law and will be subject to the exclusive jurisdiction of the competent courts of Belgium.
3. Accounts and Subscriptions
When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding your password and for any activities or actions under your password.
Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis depending on the type of subscription plan you select.
4. Acceptable Use Policy
You agree not to use the Service in any way that is unlawful, illegal, fraudulent, or harmful. Specifically, you may not:
- Host, publish, or distribute illegal, infringing, or malicious content.
- Attempt to probe, scan, or test the vulnerability of the system without authorization.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to transmit unsolicited commercial communications (spam).
5. Data Processing Agreement (DPA)
When processing personal data of your customers or end-users ("End-User Data") through the Service, you act as the Data Controller, and Webooto acts as the Data Processor. You are solely responsible for obtaining the necessary consents and legal basis for collecting and processing End-User Data. Webooto will only process End-User Data in accordance with your instructions and the functionality of the Service.
6. End-User Liability
Webooto provides the platform infrastructure (the "Service") but is not a party to any transaction, agreement, or dispute between you and your customers (e.g., online food orders, bookings, or sales). Webooto completely disclaims all liability for failed orders, delivery issues, payment disputes, or any direct interactions between you and your End-Users.
7. Service Availability & SLAs
While we strive for 99.9% uptime, Webooto is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted access to the Service. In no event shall Webooto be held liable for any loss of revenue, business interruption, or reputational damage resulting from temporary platform downtime, maintenance, or infrastructure failures.
8. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Webooto and its licensors. You retain full ownership and intellectual property rights over the text, images, and data you input into your individual tenant applications.
9. Limitation of Liability
In no event shall Webooto, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of the Service.
10. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms or use the Service for abusive, fraudulent, or illegal activities.
